Welcome to Agrocityhub ("Platform"), operated by Opsonet Smart Technologies LTD ("Company," "we," "us," or "our"). Agrocityhub is a digital marketplace connecting farmers, suppliers, investors, and buyers across Nigeria, Africa, and globally. By accessing or using Agrocityhub, you agree to comply with and be bound by these Terms of Use. Please read them carefully before using the platform. Agrocityhub is a technology platform only — it is not a bank, licensed escrow provider, payment processor, logistics company, or financial institution.

• You must be at least 18 years old to use this platform.
• You confirm that all information provided is accurate, complete, and up-to-date.
• Businesses must provide valid registration, tax, and compliance documentation where required.
• Users must not be subject to any legal prohibition from transacting on the platform.

Agrocityhub provides the following core services:

• Buying and selling of agricultural products
• Agro-investment opportunities
• Logistics and supply chain connections
• Smart technology integrations (IoT, tracking, remote farm management)
• Transaction protection facilitation (not licensed escrow)

Agrocityhub does not directly own, store, or control all products listed by users and does not take ownership or possession of listed goods.

You agree to:

• Provide truthful, accurate, and non-misleading information
• Use the platform in compliance with all applicable laws
• Avoid fraud, misrepresentation, or deceptive practices
• Respect other users and platform staff

• Users are solely responsible for safeguarding login credentials
• All activities conducted under your account are your responsibility
• You must notify us immediately upon discovering any unauthorized account access
• We may suspend or terminate accounts for security breaches or policy violations

• Agrocityhub facilitates transactions via licensed third-party payment providers
• A service or transaction facilitation fee may apply and will be disclosed prior to payment completion
• Agrocityhub does not guarantee the outcome of any transaction
• We reserve the right to delay, block, or conditionally release payments for fraud prevention or compliance purposes

• Agrocityhub provides a transaction protection system as a risk-reduction facilitation tool only — not a licensed escrow service
• Funds are not held in a dedicated escrow account; Agrocityhub is not a custodian, trustee, or fiduciary
• Payment release occurs upon buyer delivery confirmation or automatically after 3–7 days post-delivery with no active dispute
• Disputes must be reported within the defined protection window for each product category
• Agrocityhub acts as a neutral technology facilitator and does not guarantee dispute outcomes
• Decisions are made in good faith based on submitted evidence and do not override users' legal rights under applicable law

• Users engaging in high-value transactions, seller accounts, and investment activities may be required to complete identity verification
• We reserve the right to monitor transactions for AML and CTF compliance
• Non-compliance with KYC requirements may result in account restriction or suspension
• All KYC data is handled in accordance with the NDPR and applicable data protection laws

• All platform assets, branding, and technology belong to Agrocityhub or its licensors
• Users retain ownership of content they upload but grant Agrocityhub a non-exclusive licence to display, distribute, and promote such content on the platform
• Users must not reproduce, redistribute, or commercially exploit platform content without written consent

We may suspend or terminate access without prior notice and remove content that violates these Terms, applicable law, or our Acceptable Use Policy. Users may close their accounts at any time subject to settling any outstanding obligations.

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes arising shall be subject to the jurisdiction of Nigerian courts unless otherwise agreed in writing.

We may update these Terms at any time to reflect changes in law, regulation, or platform operations. Continued use of the platform following notification of updated Terms constitutes your acceptance.

When using logistics services facilitated through Agrocityhub, users agree to the following:

• You are responsible for providing correct delivery addresses, accurate recipient details, and proper package labeling
• If incorrect information is provided and delivery is attempted, you bear the cost of retrieval and redelivery
• You must maintain a funded wallet balance where applicable — shipment charges will be deducted accordingly
• You are prohibited from shipping chemicals, explosives, hazardous goods, illegal items, or any restricted agricultural products — you will be held liable for any breach
• Agrocityhub is not liable for delivery failures, delays, or losses caused by third-party logistics providers
• Any disputes with logistics providers must be reported within the platform's defined window for resolution

Agrocityhub acts solely as a facilitator connecting users to logistics providers and does not assume responsibility for the actions or negligence of those providers.

For every bulk agricultural order, the following process applies: (1) buyer and seller agree on product specifications before payment; (2) goods are inspected at destination before acceptance; (3) if goods meet specification, the buyer accepts and the transaction completes; (4) if goods do not meet specification, the buyer provides photo/video evidence and requests rejection; (5) Agrocityhub reviews the evidence and determines responsibility; (6) the responsible party pays return transportation.

• If the seller sends goods that don't meet the agreed specification, the seller pays the return transportation cost.
• If the goods meet the agreed specification but the buyer refuses to accept them without a valid product-related reason, the buyer pays the return transportation cost.
• If the goods were damaged during transportation, the logistics provider's liability/claims process is activated instead.

Buyers have the right to inspect agricultural products upon delivery before acceptance. Any rejection must be supported by reasonable evidence that the goods materially fail to meet the specifications agreed at the time of purchase.
